1. Services Overview

1.1 For Clients: VacantC assists in sourcing, screening, and presenting suitable candidates for employment opportunities. This includes, but is not limited to, permanent, temporary, and contract placements.

1.2 For Candidates: VacantC provides candidates with job opportunities, career advice, and guidance in securing legal roles with employers. This includes submitting CVs, arranging interviews, and negotiating employment terms.

2. Eligibility

2.1 Clients: By engaging with our services, you confirm that you are legally authorised to hire employees in the UK and that the information you provide to us is accurate, up-to-date, and complete.

2.2 Candidates: By using our Services, you confirm that you are legally authorised to work in the UK, and the information (such as CVs, qualifications, work experience) you provide is accurate, truthful, and complete.

3. Privacy Policy

We respect your privacy and are committed to protecting your personal data. Our Privacy Policy (https://vacantc.co.uk/privacy-policy), which outlines how we collect, store, and use your information, forms part of these Terms. By using our Services, you consent to our collection and use of your personal data in accordance with our Privacy Policy.

4. Client Obligations

4.1 Accuracy of Information: Clients must provide accurate job descriptions, requirements, and any other relevant information to VacantC.

4.2 Engagement Terms: If a Client decides to hire a Candidate referred by VacantC, the Client must notify VacantC and provide the agreed-upon fee as outlined in the terms of engagement.

4.3 Payment: Fees for recruitment services must be paid within the agreed timeframe as per the signed contract or engagement terms. Late payments may incur additional charges.

4.4 Direct Recruitment: Clients agree not to approach, hire, or contact any Candidate introduced by VacantC within a period of 12 months after the introduction without VacantC’s consent.

5. Candidate Obligations

5.1 Accuracy of Information: Candidates must ensure that all information provided, including qualifications, work history, and other personal data, is accurate and up-to-date. Any false or misleading information may lead to termination of services.

5.2 Employment Decisions: While VacantC assists Candidates in finding opportunities, the ultimate decision to accept or reject any job offer is the responsibility of the Candidate. VacantC does not guarantee employment.

6. Fees

6.1 Clients: Clients agree to pay VacantC the applicable recruitment fees, which will be outlined in a separate contract or engagement letter. Fees are typically based on a percentage of the Candidate’s first-year salary or as agreed upon.

6.2 Candidates: Our services for Candidates are generally free. However, in cases where specific services incur a fee, this will be disclosed in advance and agreed upon.

7. Disclaimer of Warranties

7.1 VacantC provides the Services on an "as is" and "as available" basis. We make no warranties or representations, either express or implied, about the accuracy, reliability, suitability, or availability of the Services or any information provided through the Services.

7.2 VacantC does not guarantee that Clients will find suitable Candidates or that Candidates will be placed in jobs, nor do we guarantee the duration or success of any employment arrangement.

8. Limitation of Liability

To the fullest extent permitted by law, VacantC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if VacantC has been advised of the possibility of such damages.

9. Termination

VacantC reserves the right to terminate or suspend your access to our Services at any time, without prior notice or liability, if we determine that you have violated these Terms or if we are required to do so by law.

10. Intellectual Property

All content, trademarks, logos, and intellectual property displayed on the VacantC website or associated with our Services are the property of VacantC or our licensors. You may not use, reproduce, or distribute any such content without our prior written consent.

11. Confidentiality

Both Clients and Candidates agree to maintain the confidentiality of all proprietary information, including but not limited to details of candidates, job openings, and other sensitive data shared during the recruitment process.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to the Terms

VacantC reserves the right to modify or update these Terms at any time. Any changes will be posted on our website, and continued use of our Services after such changes will constitute acceptance of the new Terms.
